Terms of Service
These Terms apply to 2Bale StockCount and related web and mobile services operated under the 2BALE Inventory Intelligence name (the “Service”).
1. Acceptance and Eligibility
By creating an account, accepting an organisation invitation, or using the Service, you agree to these Terms and the Privacy Policy. If you accept on behalf of an organisation, you confirm that you are authorised to do so.
You must be at least 18 years old, have legal capacity to enter into these Terms, provide accurate account information, and use the Service only for lawful business purposes. If you do not agree, do not create an account or use the Service.
2. Accounts and Security
You are responsible for keeping your sign-in details confidential, using your own account, keeping account information current, and promptly notifying us if you suspect unauthorised access. You are responsible for activity through your account to the extent caused by your failure to take reasonable care of your credentials.
We use safeguards intended to protect accounts and sessions, but no online service can guarantee absolute security.
3. Organisation Administration
Organisation owners and administrators manage their organisation's users, roles, projects, and access. They are responsible for inviting authorised people, assigning appropriate permissions, removing access when it is no longer needed, and ensuring that information submitted to the Service is handled lawfully.
Organisation administrators may be able to view or manage project and inventory information created by members of that organisation, according to their role and the Service's access controls.
4. Acceptable Use
You must not use the Service to gain unauthorised access, bypass access controls or organisation separation, upload malicious code, disrupt the Service, make abusive automated requests, infringe another person's rights, share credentials, or break applicable law. You must not reverse engineer or misuse the Service except to the extent applicable law does not permit that restriction.
We may investigate suspected misuse and may restrict access as described in these Terms.
5. Customer Data
You or your organisation retain ownership of inventory records, product and barcode information, count entries, reports, and other business information submitted to or generated through the Service (together, “Customer Data”).
You grant us a limited, non-exclusive licence to host, store, process, back up, and display Customer Data only as needed to provide, secure, support, and improve the Service, and as described in the Privacy Policy.
You and your organisation are responsible for the accuracy, completeness, lawfulness, and quality of Customer Data and for having authority to submit it.
6. Intellectual Property
The Service, including its software, design, documentation, and branding, is owned by 2BALE or its licensors. These Terms give you a limited right to use the Service for your organisation's business purposes; they do not transfer ownership of the Service or its intellectual property.
You retain your rights in Customer Data. Reports and other outputs reflect information submitted to or processed by the Service and do not transfer ownership of that underlying information.
7. Stock Counts and Reports
The Service helps users record, reconcile, and report physical stock counts. It processes information entered or scanned by users; it does not independently verify physical stock, product setup, or the completeness and accuracy of a count.
Users and their organisation are responsible for following their counting procedures and reviewing count results and reports before relying on them for business, accounting, regulatory, or other decisions. Reports are based on Customer Data and are not a substitute for an independent audit, accounting opinion, or other professional advice.
8. Service Availability
We may maintain, update, change, or discontinue Service features. Access can depend on network connectivity, devices, and third-party infrastructure. Mobile offline work depends on the device and the application's local capabilities; syncing changes requires a network connection, and users should check that work has synced before relying on it elsewhere.
9. Fees and Payment
If fees apply to your organisation, the applicable amounts and payment terms are provided in the plan details, order form, or subscription agreement provided to that organisation. These Terms do not set a price, billing interval, renewal schedule, or refund promise.
10. Suspension and Termination
We may suspend or end access where reasonably necessary to address a material breach, security risk, unlawful use, legal requirement, or unpaid fee under an applicable agreement. Where practical and appropriate, we will provide notice and an opportunity to address the issue.
You may stop using the Service and may contact us to request account deactivation or deletion. Customer Data may remain subject to the retention, audit, organisation-control, and legal requirements described in the Privacy Policy. Where technically feasible, an organisation may request an export before access ends.
11. Warranty Disclaimer
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.” We do not promise that it will be uninterrupted, error-free, or suitable for every purpose, or that reports will be accurate independently of the information supplied by users. Any warranty that cannot lawfully be excluded remains unaffected.
12. Limitation of Liability
To the maximum extent permitted by applicable law, 2BALE is not liable for indirect, incidental, special, consequential, punitive, or exemplary loss, or for loss of profit, revenue, business opportunity, anticipated savings, business interruption, data, inventory, or reliance on Service outputs.
Nothing in these Terms excludes or limits liability to the extent that applicable law does not permit it to be excluded or limited.
13. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless 2BALE and its directors, employees, and agents from claims, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service in breach of these Terms, your violation of applicable law, Customer Data that infringes another person's rights or is processed without proper authority, or your organisation's failure to manage user access appropriately.
14. Changes to These Terms
We may update these Terms and will change the version and dates shown above when we do. We will provide notice of material changes through the Service or by email where practicable. Where renewed acceptance is required, we will request it and record the version accepted. Continuing to use the Service does not by itself change an acceptance record or represent that you accepted a new version.
15. Governing Law and Disputes
These Terms are governed by the laws of Uganda. The parties will first try to resolve a dispute through good-faith discussions. If it is not resolved, the competent courts of Uganda may hear the dispute. These Terms do not require arbitration.
16. General and Contact
If any part of these Terms is unenforceable, the remaining parts continue to apply to the extent permitted by law. These Terms and any applicable plan or subscription agreement describe the agreement for use of the Service. The Service name used here is 2BALE Inventory Intelligence; this description does not state a separate registered legal-entity name.
